Welcome to Foodélez.
These Terms of Service explain, in clear language, the rules that govern your use of Foodélez Mart and Foodélez People and set out the rights and responsibilities between you and Foodélez. By accessing or using any of our Services, you agree to be bound by these Terms, so please read them carefully and contact us if you have any questions.

1) Definitions

1.1. In these Terms of Service (“Terms”), the following words and expressions shall have the meanings set out below, unless the context requires otherwise:

• “Foodélez”, “we”, “us”, “our”: the trademark owned by ( Foodelez Egypt For Food And Beverages LLC ), company established under the laws of the Arab Republic of Egypt.
• “Services”: collectively, the Foodélez Mart Service and the Foodélez People Service, together with all related websites, applications and support services.
• “Foodélez Mart” or the “Mart Service”: the online platform (website and mobile application) for displaying, ordering and purchasing food, beverages and related products.
• “Foodélez People” or the “People Service”: the internal Human Resources application used within Foodélez to manage HR processes such as payroll, personnel administration, performance management and internal chat.
• “User”, “you”, “your”: any natural or legal person who visits or uses any of the Services, including customers, restaurants, stores, delivery partners, employees, HR users and managers.
• “Account”: the user account created on any of the Foodélez Services, through which the User accesses and manages the Services.
• “Content”: any data, information, text, images, comments, ratings, messages or other materials that are uploaded, posted, sent or displayed through the Services.
• “Third Party”: any person or entity other than Foodélez and the User, such as restaurants, stores, delivery partners, payment service providers and hosting providers.

2) Scope and Acceptance of the Terms

2.1. These Terms govern your access to and use of the Services, including browsing the websites, using the applications, creating Accounts, placing orders, and using HR and chat functionalities and any other features made available by Foodélez.

2.2. By accessing or using any of the Services, creating an Account, or continuing to use the Services, you acknowledge that you have read, understood and agree to be bound by these Terms, together with our Privacy Policy and any other policies or terms referenced in or linked from these Terms or from the Services.

2.3. If you do not agree with these Terms, you must not use the Services and must stop accessing them immediately.

2.4. If you use the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that your acceptance of these Terms is deemed an acceptance by that entity.

3) Eligibility and Account Creation

3.1. The Mart Service may only be used by individuals who are at least 18 years of age and who have full legal capacity to contract under Egyptian law. By using the Mart Service, you represent that you meet these requirements.

3.2. Employees and internal users may only use the People Service if they have been granted explicit access rights by Foodélez in accordance with their job role and internal policies.

3.3. Certain features of the Services may require you to create an Account and provide certain personal information. You agree to provide accurate, complete and up‑to‑date information, and to update it as necessary to keep it accurate and current.

3.4. You are responsible for maintaining the confidentiality of your login credentials (username, password and any other authentication method) and for restricting access to your device or Account. You are solely responsible for all activities that occur under your Account, unless you promptly notify Foodélez of any unauthorised access or suspected breach.

3.5. Foodélez reserves the right, at its sole discretion, to refuse, suspend or cancel any Account or to limit or terminate access to any of the Services at any time, if it believes that there has been a breach of these Terms, of applicable law, or of its internal policies, or where such action is necessary to protect the Services, users or third parties.

4) Use of the Services – General Rules

4.1. You agree to use the Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations in the Arab Republic of Egypt.

4.2. You must not, for example and without limitation:

• Use the Services in connection with any illegal, unlawful or improper activity, or in any way that infringes public order or morals.
• Attempt to hack, disable or interfere with any part of the Services or their systems, or to gain unauthorised access to any Account, data or information system.
• Upload, post, transmit or otherwise make available any Content that is illegal, offensive, defamatory, obscene, infringing, invasive of privacy or other rights, or otherwise objectionable.
• Use the Services to send unsolicited or unauthorised messages, including spam or bulk communications.
• Use the Services in a way that could damage, overload or impair the infrastructure or technical systems of Foodélez or its partners.

4.3. You agree not to reproduce, duplicate, copy, sell, resell or exploit any part of the Services for any commercial purpose without Foodélez’s prior written consent.

5) Specific Provisions for Foodélez Mart

5.1. Nature of the Mart Service

Foodélez Mart provides an online platform that allows you to browse menus and offerings from restaurants, stores and service partners, place orders, complete purchases and arrange delivery through delivery partners. In many cases, the underlying sale of food or products is concluded between you and the restaurant/store or service provider, while Foodélez acts as an intermediary and facilitator, unless expressly stated otherwise.

5.2. Prices and Availability

• Prices and product information displayed on the Mart Service are provided by restaurants, stores and service partners and may change from time to time.
• While we endeavour to keep information accurate and up‑to‑date, errors may occur in prices, descriptions or availability. In such cases, we reserve the right to correct any error and to inform you before fulfilling your order or to cancel the order and refund any amounts paid where appropriate.

5.3. Orders and Payment

• By placing an order through the Mart Service, you submit an offer to purchase a product or service from the restaurant/store or from Foodélez (as applicable), which is subject to acceptance and confirmation via the platform or other communication means.
• We may offer different payment methods (cash on delivery, card payments, wallets, etc.). All payments are subject to the terms of the relevant payment service providers, banks and applicable regulations.
• You agree to pay the full amount due for your order, including applicable taxes, fees, delivery charges and any additional charges notified to you before you complete the order.

5.4. Delivery and Estimated Times

• We work with delivery partners to deliver orders within the estimated timeframes indicated on the platform; however, such timeframes are estimates only and may be affected by external factors (traffic, weather, high demand, etc.).
• To the extent permitted by law, Foodélez shall not be liable for any delays beyond its reasonable control or that of its partners, provided that reasonable care has been taken to fulfil the order.

5.5. Cancellation and Refunds

• Foodélez may allow order cancellations within a specific time window or according to each restaurant’s/store’s policy, as may be indicated on the platform where possible.
• In cases of accepted cancellation or where there is a justified error or defect in the order, refund requests will be handled in accordance with Foodélez’s and the relevant restaurant’s/store’s refund policies and applicable law.

5.6. Ratings and Reviews

• The Mart Service may allow you to leave ratings and reviews for restaurants, stores and orders. You agree that such reviews will be honest, based on your own experience, and will not contain offensive, defamatory, inaccurate or unlawful content or infringe any rights of others.
• Foodélez reserves the right, at its discretion, to review, hide or remove any rating or review that it considers to be in breach of these Terms or of applicable law, without any obligation to monitor all Content in advance.

6) Specific Provisions for Foodélez People

6.1. Nature of the People Service

The People Service is an internal HR system intended solely for use by authorised employees and users within Foodélez, for the purposes of managing HR matters such as personnel records, payroll, performance and internal communication, in line with internal policies.

6.2. Access and Use

• Your use of the People Service is subject to the access rights granted to you by Foodélez, and you must not share your login credentials or grant access to any unauthorised person.
• You agree to use any information or data accessed via the People Service strictly for legitimate business purposes, and not to copy, export or disclose such data to any unauthorised party except as permitted by law and internal policies.

6.3. Confidentiality and Internal Privacy

• The People Service may contain sensitive information about employees (such as salary details, personal records and performance data). Any unauthorised disclosure of such information may constitute a serious violation and may lead to disciplinary measures and legal consequences.
• Foodélez reserves the right, in accordance with applicable law and internal policies, to monitor login and usage logs and internal communications within the People Service to ensure security, compliance and data protection.

7) Content and Intellectual Property

7.1. All rights in and to the Services, including the design, the “Foodélez” brand, logos, text, graphics, user interfaces, software, databases and any original content provided by Foodélez, are owned by or licensed to Foodélez and are protected under Egyptian and international intellectual property laws.

7.2. You are granted a limited, non‑exclusive, non‑transferable and revocable licence to access and use the Services for your personal and/or legitimate internal business purposes, in accordance with these Terms. You may not copy, modify, distribute, sell, sub‑licence or create derivative works from any part of the Services or the content, without Foodélez’s prior written consent.

7.3. Any Content that you upload, post or transmit via the Services (such as comments, ratings or messages) remains your property, but you grant Foodélez a worldwide, non‑exclusive, royalty‑free, sublicensable and transferable licence to use, copy, modify, display and distribute such Content as reasonably necessary to operate, improve and promote the Services, in compliance with applicable law.

8) Privacy and Data Protection

8.1. Any personal data collected through the Services is handled in accordance with the Foodélez Privacy Policy, which forms an integral part of these Terms.

8.2. By using the Services, you acknowledge that you have read and understood the Privacy Policy and agree to the ways in which your data is collected, used and protected, including our obligations under the Egyptian Cybercrime Law and other applicable regulations.

9) Disclaimers and Limitation of Liability

9.1. The Services are provided “as is” and “as available”, without any warranties of any kind, whether express or implied, including but not limited to implied warranties of fitness for a particular purpose, merchantability, non‑infringement or availability, to the maximum extent permitted by law.

9.2. To the fullest extent permitted by law, Foodélez shall not be liable for any indirect, special, incidental, consequential or punitive damages, or for any loss of profits, data or goodwill, arising out of or in connection with your use of or inability to use the Services.

9.3. Without limiting the generality of the foregoing, Foodélez shall not be liable for any damage or loss resulting from:

• Errors or inaccuracies in the information provided by you, other users or partners.
• Any delay or failure to perform due to events beyond Foodélez’s reasonable control (including force majeure, internet or power outages, security disruptions, etc.).
• Your misuse of the Services or your breach of these Terms or of applicable law.

9.4. Nothing in these Terms is intended to exclude or limit any liability that cannot be excluded or limited under applicable Egyptian law.

10) Indemnity

10.1. You agree to indemnify, defend and hold harmless Foodélez, its affiliates, directors, officers, employees and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:

• Your breach of these Terms;
• Your unlawful or unauthorised use of the Services; or
• Any claim that Content you submit infringes the rights of any third party.

11) Changes to the Terms and Termination

11.1. Foodélez may modify these Terms from time to time. The updated version will be posted on the website or application, and we may notify you of any material changes using appropriate means.

11.2. Your continued use of the Services after the updated Terms have been posted constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Services.

11.3. Foodélez may, at any time and at its sole discretion, suspend or terminate your access to all or part of the Services, with or without notice, if it considers such action necessary to protect the Services, users, or to comply with applicable law.

12) Governing Law and Jurisdiction

12.1. These Terms and any dispute arising out of or in connection with them or with your use of the Services shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt.

12.2. The courts of Alexandria (or such other competent courts as may be agreed or mandated by law) shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, without prejudice to any mandatory jurisdiction of other courts under applicable law.
